By downloading this application you agree to the following terms.

Welcome to P.A.L., a service being provided to you by OnPlane Inc. ("P.A.L."). By accessing or otherwise using P.A.L. you agree and acknowledge to be bound by these P.A.L. Terms of Service ("P.A.L. Terms"). P.A.L. reserves the right to change these P.A.L. Terms at any time. P.A.L. recommends that you periodically check this page.

1. Usage License
P.A.L. grants you a limited license to access and use P.A.L. in accordance with these P.A.L. Terms and the instructions and guidelines posted on P.A.L.. P.A.L. reserves the right to terminate your license to use P.A.L. at any time and for any reason or to charge for commercial usage in the future.

2. User Responsibility
You are solely responsible for your use of P.A.L. Because P.A.L. merely serves as a repository of information, user-posted content does not represent the advice, views, opinions or beliefs of OnPlane Inc., and P.A.L. makes no claim of accuracy of any user-posted material. P.A.L. allows for the posting of links to third-party websites. The linked websites' content, business practices and privacy policies are not under the control of P.A.L., and P.A.L. is not responsible for the content of any linked website or any link contained in a linked website. The inclusion of a link on P.A.L. does not imply any endorsement by or any affiliation with P.A.L. In accessing P.A.L. or following links to third-party websites you may be exposed to content that you consider offensive or inappropriate. You agree that your only recourse is to stop using P.A.L. You understand that the creation of bookmarks in P.A.L. for purposes of specifically boosting exposure of a site in P.A.L. and/or search engines is a breach of these P.A.L. Terms, that P.A.L. views such entries as spam and that P.A.L. reserves the right to take appropriate action to restrict such entries up to and including termination of your access to P.A.L.

3. User-Posted Content
By posting content, you are granting permission to P.A.L. and others to access and use it in connection with P.A.L. and otherwise in connection with its affiliates’ businesses. You can mark content as private to restrict access and use to those users to whom you explicitly grant access. For publicly accessible content, you can label your content with one of several possible licenses. Your use of a license in connection with your content does not affect P.A.L.'s right to access and use it in connection with P.A.L. or otherwise in connection with its affiliates’ businesses.

P.A.L. does not provide legal services, and therefore, providing you with the ability to attach a license agreement to your compilation of links does not create an attorney-client relationship. The license agreements and all related information are provided on an "as is" basis. P.A.L. makes no warranties whatsoever regarding the license agreements and the information provided, and disclaims all liability for damages, including without limitation, any general, special, incidental or consequential damages, resulting from their use. P.A.L. will include this license label in making your content accessible to others, but any enforcement of your chosen license terms remains your sole responsibility.

P.A.L. is explicitly not responsible for the manner or circumstances by which third parties access or use public content and is under no obligation to disable or otherwise restrict this access. P.A.L. provides you with the ability to retrieve and remove your posted content and your personal information from P.A.L.. This ability does not extend to copies that others may have made or to copies that P.A.L. may have made for backup purposes.

4. Feeds and API
P.A.L. provides access to portions of P.A.L. via RSS feeds and an API; for the purposes of these P.A.L. Terms, such access constitutes use of P.A.L. P.A.L. asks that you use these features respectfully. You may not use these or any other features or P.A.L. itself to allow the display of a substantial portion of the P.A.L. database or reproduce, duplicate or copy P.A.L. P.A.L. reserves the right to change these features at any time and to disable access to the feeds and the API at any time for any reason.

5. Intellectual Property (Trademarks & Copyrights)
P.A.L., the P.A.L. logo and the P.A.L. design are the trademarks or trade dress of OnPlane, Inc., and may not be used without express written permission from OnPlane, Inc., other than for attribution. All other trademarks not owned by OnPlane, Inc. that appear on P.A.L. are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by OnPlane, Inc. P.A.L.-originated content, such as text, graphics, logos, data compilations, APIs, software and the compilation of all content on the Site, is the property of P.A.L. and its licensers and protected by United States and international copyright laws. Except as set out in these P.A.L. Terms, no reproduction of any P.A.L.-originated content is permitted without written permission from P.A.L.  You acknowledges and agrees that OnPlane, Inc. shall have the unrestricted right to use, distribute, market, exploit and display any information, analysis, statistics and other data generated by P.A.L. (or derived from an end use of P.A.L.), including compilation of aggregated statistics about th P.A.L.or online marketing; provided, however, that OnPlane, Inc. shall not publicly disclose or distribute any such data unless such data is in an aggregated form that would not permit a third party to identify the data as associated with you.

Any use or reproduction of user-posted content must comply with the terms of the respective license(s) and must include a label indicating such license.

6. No Warranty and Limitation of Liability
P.A.L. PROVIDES THE SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. P.A.L. SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, INFORMATION ACCURACY, INTEGRATION, INTEROPERABILITY OR QUIET ENJOYMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

You understand and agree that you use P.A.L. at your own discretion and risk and that you will be solely responsible for any damages that arise from such use. UNDER NO CIRCUMSTANCES SHALL P.A.L. OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, OR ANY OTHER DAMAGES WHATSOEVER (HOWEVER ARISING, INCLUDING BY NEGLIGENCE), INCLUDING WITHOUT LIMITATION, DAMAGES RELATED TO USE, MISUSE, RELIANCE ON, INABILITY TO USE AND INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SITE OR SERVICES, DAMAGES INCURRED THROUGH ANY LINKS PROVIDED ON THE SITE AND THE NONPERFORMANCE THEREOF AND DAMAGES RESULTING FROM LOSS OF USE, SALES, DATA, GOODWILL OR PROFITS, WHETHER OR NOT P.A.L. HAS BEEN ADVISED OF SUCH POSSIBILITY. YOUR ONLY RIGHT WITH RESPECT TO ANY DISSATISFACTION WITH P.A.L. SHALL BE TO TERMINATE USE OF P.A.L.. Some states do not allow the exclusion of liability for incidental or consequential damages, so the above exclusions may not apply to you.

7. Other
These P.A.L. Terms supersede any previous agreement related to your use of P.A.L. and represent the entire agreement between P.A.L. and you with regard to your use of P.A.L. These P.A.L. Terms are governed by the laws of the State of New Hampshire without reference to conflict of laws principles. If any provision of the P.A.L. Terms is adjudged to be illegal or unenforceable, the continuation in full force of the remainder of the P.A.L. Terms will not be prejudiced, and the illegal or unenforceable provision of the P.A.L. Terms shall be severed accordingly.
